Terms and Conditions for Shine App

These Terms and Conditions (“Terms”) govern your access to and use of the Shine App website (shineapp.ca), mobile applications, and related services (collectively, the “Platform”) operated by SHINE INC (“Shine App,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.


1. Important Notice

Shine App provides mental wellness and self-care tools (such as guided practices, journaling, meditation, chatbot support, and wellness-related content). Shine App is not a substitute for medical care, psychiatric care, psychotherapy, diagnosis, or crisis intervention.

Emergency / Crisis Support

If you are in crisis, feel unsafe, or may harm yourself or others, call 911 immediately or contact a local emergency/crisis service.


2. Eligibility

You may use the Platform only if:

  • You are at least 18 years old, or

  • You are the age of majority in your jurisdiction and capable of entering a binding agreement, or

  • You are using the Platform under the supervision and consent of a parent/legal guardian (if we permit minors in certain services).

By using the Platform, you represent that the information you provide is accurate and complete.


3. Services Provided

Shine App may include, depending on your plan or account type:

  • Mental wellness content and guided practices

  • Journaling and personal practice tools

  • Chatbot and digital self-support features

  • Messaging features

  • Session booking and scheduling tools

  • Provider/psychologist account access

  • B2B and white-label solutions for professionals/organizations

We may add, remove, modify, or discontinue features at any time.


4. No Medical Advice / No Therapist-Client Relationship

Unless explicitly stated in a separate written agreement with a licensed provider, use of the Platform does not create:

  • A doctor-patient relationship

  • A therapist-client relationship

  • A psychologist-patient relationship

  • Any fiduciary or professional advisory relationship

Any information on the Platform is for general educational and wellness purposes only and should not be relied upon as medical or mental health advice.


5. User Accounts

To access certain features, you may need to create an account.

You agree to:

  • Provide accurate, current information

  • Keep your login credentials confidential

  • Be responsible for all activity under your account

  • Notify us immediately of unauthorized use or security breaches

We may suspend or terminate accounts that violate these Terms or create risk for users or the Platform.


6. Acceptable Use

You agree not to use the Platform to:

  • Violate any law or regulation

  • Harass, threaten, abuse, or harm others

  • Upload or share unlawful, defamatory, hateful, or obscene content

  • Misrepresent your identity or credentials

  • Attempt unauthorized access to systems or accounts

  • Interfere with the security or operation of the Platform

  • Reverse engineer, scrape, copy, or exploit the Platform without permission

  • Use the Platform for emergency or crisis situations

We reserve the right to remove content and restrict access for any misuse.


7. User Content

User Content” includes messages, journal entries, comments, uploads, profile information, and other content you submit.

7.1 Ownership

You retain ownership of your User Content.

7.2 License to Shine App

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit your User Content solely to operate, maintain, improve, and provide the Platform.

7.3 Responsibility

You are solely responsible for your User Content and represent that:

  • You have the right to submit it

  • It does not violate the rights of others

  • It does not violate any applicable law

7.4 Monitoring and Removal

We may (but are not obligated to) review, moderate, or remove User Content that violates these Terms or creates legal, safety, or operational risk.


8. Chatbot and AI Features

If Shine App provides a chatbot or AI-assisted feature:

  • Responses are automated and may be inaccurate, incomplete, or not suitable for your situation

  • AI output is for informational and self-support use only

  • AI output is not medical, legal, financial, or psychological advice

  • You should not rely on AI output in urgent, high-risk, or emergency situations

Do not enter highly sensitive information unless you understand and accept how your information is handled under our Privacy Policy.


9. Messaging and Communication Features

The Platform may include in-app messaging (e.g., user-provider communication, support messaging, or system messages).

You agree that:

  • Messaging is not for emergency use

  • We do not guarantee immediate delivery, response time, or continuous availability

  • Messages may be delayed due to technical or network issues

  • Abusive or inappropriate communications may result in account restrictions


10. Booking and Session Scheduling

If the Platform allows users to book sessions with providers, instructors, or guides:

  • Availability shown on the Platform is subject to change

  • Bookings may be confirmed, rescheduled, or cancelled by the provider or user

  • Session outcomes are not guaranteed

  • Shine App may act only as a technology platform and not as the direct provider of services (unless clearly stated)

10.1 Provider Responsibility

Licensed providers (where applicable) are responsible for:

  • Their own professional credentials and licensing

  • Their service quality and compliance obligations

  • Their records and informed consent processes (where applicable)


11. Payments, Subscriptions, and Refunds

Some features may require payment or subscription.

11.1 Billing

By subscribing, you authorize us (or the applicable app store/payment processor) to charge the fees shown at the time of purchase.

11.2 Auto-Renewal

Subscriptions may renew automatically unless cancelled before the renewal date.

11.3 App Store Purchases

If you subscribe through the Apple App Store or Google Play, your billing, cancellation, and refund rights may be governed by that app store’s terms and policies. Your site FAQ currently directs users to manage/cancel subscriptions through the device app store.

11.4 Refunds

Unless required by law or stated otherwise in a specific offer, fees are non-refundable. If a refund is requested, we will review it in accordance with applicable law and the payment channel used.

11.5 Price Changes

We may change subscription fees or pricing with reasonable notice. Continued use after the effective date of a price change constitutes acceptance of the new price.


12. Intellectual Property

All Platform content (except User Content), including text, graphics, logos, software, design, features, and branding, is owned by or licensed to Shine App and protected by copyright, trademark, and other laws.

You may not:

  • Copy, reproduce, distribute, modify, or create derivative works

  • Use our trademarks or branding without written permission

  • Commercially exploit any part of the Platform without authorization

We grant you a limited, revocable, non-transferable license to use the Platform for personal or authorized business use in accordance with these Terms.


13. Third-Party Services and Links

The Platform may integrate or link to third-party services (e.g., app stores, payment processors, analytics, communication tools, or provider websites).

We are not responsible for third-party services, content, terms, or privacy practices. Your use of third-party services is governed by their own policies and agreements.


14. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of information as described in that policy.


15. Disclaimers

To the fullest extent permitted by law:

  • The Platform is provided on an “as is” and “as available” basis

  • We make no warranties (express or implied) regarding availability, accuracy, reliability, fitness for a particular purpose, or non-infringement

  • We do not guarantee uninterrupted service, error-free operation, or that the Platform will be free of harmful components

  • We do not guarantee therapeutic, medical, emotional, or business outcomes from use of the Platform


16. Limitation of Liability

To the fullest extent permitted by law, Shine App and its directors, officers, employees, contractors, affiliates, and licensors will not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of data, revenue, profits, goodwill, or business opportunities

  • Personal injury or emotional distress arising from use or misuse of the Platform

  • Errors, interruptions, delays, or unauthorized access


17. Indemnification

You agree to indemnify and hold harmless Shine Inc, Shine App and its affiliates, officers, directors, employees, contractors, and licensors from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of:

  • Your use of the Platform

  • Your User Content

  • Your violation of these Terms

  • Your violation of any law or third-party rights


18. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if:

  • You violate these Terms

  • We suspect misuse, fraud, or security risk

  • Required by law or regulatory obligation

  • We discontinue the Platform or a feature

You may stop using the Platform at any time and request account closure, subject to legal and operational retention requirements.


19. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on the Platform and update the “Last Updated” date.

If changes are material, we may provide additional notice (e.g., email or in-app notice). Your continued use of the Platform after updated Terms become effective means you accept the revised Terms.


20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute arising from these Terms or your use of the Platform will be brought exclusively in the courts located in Calgary, Alberta, unless applicable law requires otherwise.


21. Dispute Resolution (Optional but Recommended)

Before starting legal proceedings, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

22. Electronic Communications and Consent

By using the Platform, you agree to receive communications from us electronically (e.g., email, in-app notifications, website notices). These communications satisfy any legal requirement that such communications be in writing, unless applicable law requires a different method.


23. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.


24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented to you for specific features/services, form the entire agreement between you and Shine App regarding the Platform.

26. Additional Terms for Providers / B2B White-Label Clients (Optional Section)

If you offer provider accounts and white-label services (which your site indicates), add this section to protect the business side of the platform.

26.1 Provider Compliance

Providers must ensure they hold and maintain all required licenses, certifications, insurance, and regulatory approvals in their jurisdiction.

26.2 Clinical Responsibility

Providers are solely responsible for clinical decisions, diagnosis, treatment, informed consent, record-keeping, and compliance with applicable professional standards.

26.3 White-Label Use

B2B/white-label clients may use the Platform only under the agreed contract and may not resell, sublicense, or reverse engineer the Platform without written permission.

26.4 Data Roles

Where applicable, separate agreements (e.g., service agreement / data processing agreement) will define each party’s responsibilities regarding personal information and security.
